Deborah Marson, executive vice president, general counsel and secretary at Iron Mountain Inc. (NYSE: IRM), participated in a video interview at Nareit's REITwise: 2018 Law, Accounting & Finance Conference in Hollywood, Florida.
Marson advises that a company should make sure it has a policy and a plan to follow in case of a cybersecurity breach. Within that plan, it is important to identify the people in the company who will be participating in dealing with any kind of crisis, “so that you are not scurrying around at the last minute trying to figure out who will be on your team and defining what their roles might be,” she said.
As to a general counsel’s role in interfacing with a company’s board, Marson notes that general counsels wear many hats. They act as advisors to the board. In addition, they are representing the directors’ interests while also protecting the board and enabling them to meet their fiduciary responsibilities.
