Dustin Schultz, real estate leader professional practice leader at Deloitte, participated in a video interview in conjunction with Nareit’s REITworks: 2022 Conference held on Sept. 12-13 in La Quinta, California.
Schultz outlined some of the main priorities for the Securities and Exchange Commission (SEC), in addition to protecting investors and maintaining efficient markets. He noted that the SEC is now focusing more on emerging risk like ESG, cybersecurity, and forward looking statements.
“We’re going to a different cycle of the economy so any type of forward looking discussions, any type of early warning disclosures, impairment, those things are starting to come back up. It was similar to what we saw three to four years ago,” Schultz said.
Schultz also discussed the SEC’s pay versus performance rulemaking. He noted that it will be effective for 2023 proxies, so discussions around what those disclosures will look like at the compensation and board level should start early.
Meanwhile, Schultz touched on topics of interest for the real estate industry, pointing to management discussion and analysis (MD&A), non-GAAP measures, and consolidation matters.
